Project Service Agreement

Between JR Digital Ventures LLC (operating under the JR Digital Ventures service brand) and you. Please read carefully and scroll through all 25 sections.

01 · Parties

This agreement is between JR Digital Ventures LLC, operating under the JR Digital Ventures service brand (“JR Digital Ventures”), and the customer identified in this agreement (“Customer”). JR Digital Ventures is a service brand operated by JR Digital Ventures LLC and is not a separate legal entity.

02 · Services

JR Digital Ventures will deliver the digital-presence services included in the package selected by the Customer at checkout. The included scope is limited to the deliverables listed for the selected package.

03 · Project Price

The total project price, project deposit, remaining balance, and payment milestone are shown in the checkout summary and stored with this agreement. All amounts are in U.S. dollars.

04 · Non-Refundable Project Deposit

The project deposit reserves the Customer’s project and covers onboarding review, strategy, project setup, initial visual direction, initial homepage or digital-presence direction, and initial content structure. The project deposit is non-refundable because work begins immediately after payment.

05 · Remaining Balance

The remaining project balance becomes due after the Customer approves the initial direction and before JR Digital Ventures completes the full production build. If the Customer decides not to continue after reviewing the initial direction, the remaining balance is not owed; the project deposit remains non-refundable.

06 · Customer Onboarding Responsibilities

The Customer is responsible for providing complete, accurate, and timely information. Required materials may include business information, service or product descriptions, contact information, logo, brand colors, photos, videos, team information, product information, pricing information, testimonials, required disclosures, domain information, calendar information, account access, legal or industry-specific language, and any other materials reasonably required for the selected package.

07 · Fourteen-Business-Day Content Deadline

The Customer must provide all required information, images, photographs, files, account access, and other requested project materials within fourteen business days after the project deposit is confirmed.

The project is not considered fully onboarded until all required materials are received. The initial-direction delivery timeline does not begin until onboarding is complete. Missing, unusable, or incomplete materials do not count as complete submission. JR Digital Ventures may request replacement or additional materials when submitted files are unusable or insufficient.

When materials are not provided within fourteen business days, the project may be placed on hold. A paused project will be rescheduled according to JR Digital Ventures’s current production availability after all required materials are received. Customer-caused delays do not create a refund right, and the project deposit remains non-refundable.

08 · Customer Photos and Media

The Customer is responsible for supplying the photographs, images, videos, logos, product media, and other visual materials required to accurately represent the business. The Customer confirms that they own the materials or have permission and appropriate licenses to use them, that they have permission from identifiable people appearing in submitted media, that they have permission to submit testimonials, names, and likenesses, and that the materials do not knowingly violate another party’s rights.

JR Digital Ventures may reject low-resolution images, blurry images, watermarked images, copyrighted images without permission, images downloaded from unrelated websites, inappropriate images, files that cannot be used technically, and materials that conflict with the project’s purpose.

Stock photography, paid media, custom photography, professional video production, and paid asset licenses are not included unless specifically stated in writing. JR Digital Ventures will not automatically use AI-generated images to represent the Customer’s real products, team, property, or completed work without the Customer’s approval.

09 · Initial Direction

JR Digital Ventures will prepare the initial direction within three business days after complete onboarding. Complete onboarding means that all required information, content, files, photos, access, and approvals have been received.

10 · Customer Approval

The Customer must approve or reject the initial direction in writing through the JR Digital Ventures project portal or projects@jrdigitalventures.com. Social media messages and verbal conversations do not constitute final approval.

11 · Revision Rounds

Each package includes two revision rounds. A revision round is one consolidated list of requested changes submitted together. Revisions must remain within the agreed scope. Unused revision requests do not become credits or refunds. New pages, major redesigns, new functions, new services, or new integrations may require additional pricing. Additional revisions may be quoted separately.

12 · Scope Changes

Requests outside the selected package require written scope review, additional pricing, Customer approval, and a possible timeline adjustment. JR Digital Ventures is not required to perform out-of-scope work without a written change agreement.

13 · Third-Party Services

The Customer is responsible for ongoing third-party costs, including domain registration, hosting, email accounts, calendar services, CRM services, SMS charges, payment-processing fees, paid plugins, software subscriptions, stock-media licenses, and API usage. JR Digital Ventures does not control third-party pricing, availability, policies, or outages.

14 · No Performance Guarantee

JR Digital Ventures does not guarantee website traffic, search rankings, sales, revenue, leads, conversion rates, viral performance, or specific financial results. JR Digital Ventures is responsible for delivering the agreed project scope, not for guaranteeing customer behavior or business outcomes.

15 · Customer Accuracy

The Customer is responsible for reviewing and approving business information, pricing, services, product information, legal statements, policies, claims, contact details, appointment rules, and industry-specific disclosures. JR Digital Ventures is not responsible for losses caused by inaccurate information supplied or approved by the Customer.

16 · Ownership

The Customer receives ownership or the agreed usage rights to completed custom deliverables after full payment. JR Digital Ventures and JR Digital Ventures LLC retain ownership of pre-existing systems, reusable components, methods, templates, workflows, internal tools, and intellectual property. Third-party materials remain subject to their original licenses. The Customer does not receive ownership of third-party software. Unpaid drafts and initial directions remain the property of JR Digital Ventures LLC.

17 · Portfolio Permission

Unless the Customer opts out in writing before public launch, JR Digital Ventures may display the completed public-facing project in its portfolio and marketing materials. JR Digital Ventures will not disclose private information, confidential dashboards, passwords, private analytics, customer data, or internal business records.

18 · Communication

All official project correspondence, approvals, revision requests, and notices must be submitted through the JR Digital Ventures project portal or sent to projects@jrdigitalventures.com. The Customer is responsible for monitoring the email address supplied during onboarding. Approvals, revision requests, scope changes, and cancellation requests are not considered official when sent through social media direct messages, personal phone numbers, or unrelated email addresses.

19 · Project Delays

Customer delays may pause the project, move the project in the production schedule, delay delivery, or require a revised timeline. Customer delays do not create a refund right.

20 · Cancellation

The project deposit is non-refundable. If the Customer cancels before approving the initial direction, no remaining balance is owed. If the Customer approves the initial direction, the remaining balance becomes due according to this agreement. Completed work and third-party costs are not refundable.

21 · Confidentiality and Data

JR Digital Ventures will use Customer-provided information to perform the project. JR Digital Ventures does not promise absolute security. The Customer should not upload passwords in plain text, full payment-card information, Social Security numbers, unnecessary medical information, or unnecessary sensitive personal information. JR Digital Ventures will provide secure account-access instructions where integrations are needed.

22 · Limitation of Liability

To the maximum extent permitted by law, the total aggregate liability of JR Digital Ventures and JR Digital Ventures LLC arising out of or relating to this agreement is limited to the amounts actually paid by the Customer for the project. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data. This clause is drafted for attorney review and is not represented as legally approved.

23 · Governing Law

This agreement is governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Venue is subject to written confirmation and is not fixed by this agreement until agreed by the parties in writing.

24 · Electronic Acceptance

Electronic acceptance and typed signatures are intended to have the same force and effect as handwritten signatures. Acceptance is confirmed by checking the acceptance checkbox, typing the Customer’s full legal name, and submitting the agreement. Florida generally recognizes electronic signatures as having the same effect as written signatures, subject to applicable law.

This agreement is drafted for business use and requires legal review before publishing.
